Hey everyone!

I've been lurking on this listserve for a long time, and i'd like to thank you all for the quality conversation. I'm working with a group of people to start a bike shop in southwest Detroit. we are going through the incorporation process right now, and writing the operating agreement between the Shop (to be an LLC) and the parent (501c3) has been difficult. Does anyone have an example of an operating agreement for this type of relationship? I would love to have something to use as a guide, if for nothing else than to make sure we cover everything that needs to be covered in the operating agreement.
